Platform Module

Secondary Marketplace

Enable peer-to-peer trading with atomic settlement, zero counterparty risk, and optional issuer approval — providing meaningful liquidity without a public listing or exchange license.

Overview

The Secondary Marketplace module transforms private, illiquid assets into tradeable positions by enabling peer-to-peer trading among verified investors within your platform. Unlike a traditional exchange, the marketplace operates on a peer-to-peer model with no order-book matching — eliminating the regulatory requirement for an exchange license while providing meaningful liquidity for investors.

All trades execute through atomic swaps (Delivery vs. Payment) implemented via smart contracts: either both sides of the transaction settle simultaneously, or nothing moves. There is zero counterparty risk. No escrow agent. No clearing intermediary. No settlement delay.

Detailed Features

Atomic Swap Settlement (DvP)

Every trade executes through a smart contract-based atomic swap. The digital security and payment transfer simultaneously in a single, indivisible transaction. If either side fails, the entire transaction reverts. This eliminates counterparty risk entirely — a level of settlement assurance that traditional private market transactions cannot match.

Peer-to-Peer Architecture

Investors trade directly with each other. There is no central order book, no matching engine, and no market-making. This peer-to-peer design is a deliberate architectural decision: it eliminates the need for a regulated exchange license while still providing a functional, compliant trading mechanism.

Optional Issuer Approval Gates

Issuers can configure the secondary market to require their approval on every transaction before it executes. This gives issuers full control over who enters and exits their investor base — critical for maintaining shareholder composition, enforcing transfer restrictions, and meeting regulatory requirements.

Per-Asset Activation

The secondary market can be enabled or disabled independently for each asset or share class. An issuer might activate trading for one share class while keeping another locked for a specified holding period. Configuration is granular and controlled entirely by the issuer.

Partial Orders & Negotiation

Investors can place buy or sell orders for partial quantities, not just full positions. Counter-offers and price negotiation between parties are supported, allowing organic price discovery in a controlled environment.

Forced Trade Execution

Administrators can create and execute secondary trades forcefully when required for corporate actions, regulatory compliance, or dispute resolution — with the same atomic DvP settlement ensuring both sides transfer simultaneously.

Compliance-Enforced Transfers

Every transfer is validated against the token's smart contract compliance rules before execution. Geographic restrictions, accreditation requirements, holding period minimums, and maximum ownership limits are automatically enforced. Non-compliant transactions are rejected at the protocol level.

How It Works
1

Activate

The issuer enables the secondary market for a specific asset or share class through the issuer dashboard and configures approval requirements.

2

List

A verified investor places a sell order specifying quantity and price. The order is visible to other verified investors in that asset.

3

Match

A buyer identifies the order and accepts the terms, or proposes a counter-offer. Negotiation happens directly between parties.

4

Approve

If issuer approval is required, the trade is queued for the issuer's review and authorization.

5

Settle

The atomic swap executes: the digital security transfers from seller to buyer and the payment transfers from buyer to seller in a single, indivisible transaction. Cap table updates instantly.

Why No Exchange License Is Required

The Secondary Marketplace operates as a peer-to-peer trading facility, not an exchange. There is no central order book, no automated matching engine, and no market-making activity. Investors find counterparties and negotiate terms directly. The platform facilitates settlement through atomic swaps but does not intermediate the matching process. This architectural distinction is important because it eliminates the regulatory requirement for an exchange or trading venue license in most jurisdictions — while still providing the liquidity mechanism investors need.

Who Benefits

Investors in private assets who need exit options before the fund matures, the company goes public, or the property is sold.

Issuers who want to attract investors by offering liquidity as a differentiator without the cost and complexity of a public listing.

Real estate developers whose investors want to trade their fractional ownership positions without requiring the property itself to be sold.

Fund managers who want to offer LP liquidity through controlled, approved transfers of tokenized fund interests.

Related Modules

The Secondary Marketplace depends on the Asset Tokenization Engine (for the compliant tokens being traded), the Investor Management Suite (for investor verification and eligibility), and Reporting & Analytics (for tracking trading activity, price trends, and compliance events). It is typically activated after a primary offering closes through the Primary Market & Issuance module.
